Funamu Wholesale Terms

Last updated: 2 November 2026

These terms apply when a merchant buys from, or sells to, another merchant on Funamu Wholesale. They sit alongside the Funamu Merchant Agreement, the Acceptable Use Policy and the Privacy Policy. Where they differ, these terms apply to wholesale orders. By publishing a wholesale offer, submitting a purchase order or accepting one, you agree to them.

1. The parties

Funamu Wholesale is run by DOBOKAKA UG LTD, a private company limited by shares registered in Uganda, registration number 80034078892868 (Kisenyi, Kakiri Town Council, Wakiso District; P.O. Box 118605, Wakiso; info@funamu.com). The Wholesaler is the merchant selling. The Buying Merchant is the merchant buying. The contract of sale is between the Wholesaler and the Buying Merchant. Both act in the course of business. These terms are a business-to-business agreement, and the consumer rights in the Customer Terms do not apply to wholesale orders.

2. Who may trade

  • Only a merchant approved by Funamu, with a wholesale profile approved by Funamu Operations, may sell wholesale. Funamu may limit buying to verified merchants.
  • Each person acting for a merchant needs the matching permission in the Merchant app (for example, wholesale management or purchasing). The merchant is bound by what its workers do with those permissions.

3. Offers and prices

  • The Wholesaler sets its wholesale prices, minimum quantities, quantity steps, price tiers and stock, and keeps them true. Prices are shown before a purchase order is submitted.
  • At submission every line is re-priced from the Wholesaler's current terms. The Buying Merchant sees the final price before submitting.
  • A purchase order is with one Wholesaler, and its total (goods and delivery) may not exceed UGX 5,000,000. Funamu checks this when the order is submitted, accepted, paid and confirmed.

4. Purchase orders

  • A submitted purchase order is an offer to buy. The contract is made when the Wholesaler accepts it in the Merchant app. The Wholesaler may decline, with a reason.
  • If Funamu has set a review window, a purchase order not accepted in time expires.
  • On acceptance, the stock is reserved, the commission rate in force is fixed for that order, and Funamu issues a wholesale invoice. Later changes to prices or commission never change an accepted order.

5. Payment

  • The Buying Merchant pays the full total in one payment, after acceptance and before dispatch, through the Funamu checkout (mobile money through Paytota). There is no credit, deferred payment or part payment.
  • The Wholesaler appoints Funamu to collect the payment on its behalf. Payment to Funamu counts as payment to the Wholesaler. Funamu keeps it until delivery is confirmed by the Buying Merchant's PIN, and releases the Wholesaler's earning (the price less Funamu's wholesale commission) under the payout terms of the Merchant Agreement.
  • If more than the limit is confirmed by mistake, the order is cancelled and refunded in full.

6. Delivery

  • Delivery is by a Funamu Delivery Partner whose vehicle is authorised for business deliveries, at the business delivery rate for the city, or by the Wholesaler's own free delivery where Funamu has set it up for that destination.
  • Goods go to a delivery location of the Buying Merchant or to a PUDO station. Collection from a warehouse happens within its loading window.
  • The delivery fee is paid by the Buying Merchant unless the Wholesaler chose, at acceptance, to pay it.
  • Every handover is confirmed by PIN, as in the Merchant Agreement. Delivery is complete when the Buying Merchant's PIN is entered. Risk in the goods passes to the Buying Merchant at that moment, and ownership passes on delivery once payment has been made.

7. Quality, returns and disputes

  • The Wholesaler must supply goods that match the order and its description and are of satisfactory quality and fit for their usual purpose, as the Sale of Goods and Supply of Services Act requires between businesses. It must honour any guarantee it gives.
  • The Buying Merchant must check the goods at delivery and report a shortage, damage or wrong goods through Help in the app without delay. It must not enter the PIN for goods it refuses.
  • Refunds are made through Funamu, and Funamu issues a credit note for each refund. Funamu Support decides disputes from the records (purchase order, invoice, handovers, photos and chats) and gives the reasons. Either party may ask for the decision to be looked at again.

8. Commission and documents

  • Funamu charges the Wholesaler the wholesale commission set by Funamu Operations for the product's category. The rate in force at acceptance applies to that order.
  • Funamu's wholesale invoices and credit notes are commercial records of the order. They are not URA fiscal (EFRIS) receipts. Each merchant remains responsible for its own tax obligations, including VAT and fiscal receipts where the law requires them.

9. Conduct

Both parties keep wholesale dealings for Funamu orders inside Funamu, follow the Acceptable Use Policy, and use the other's business and personal data only for the order.

10. Responsibility

Each party is responsible for its own obligations. Funamu runs the platform with reasonable care, but is not a party to the sale and is not liable for the goods. Funamu is not liable for loss of profit, business or goodwill. Nothing in these terms limits liability that cannot be limited by law.

11. Changes, law and contact

Funamu may update these terms and shows the new version in the Merchant app with the date it takes effect. An accepted purchase order stays under the terms in force when it was accepted. The laws of Uganda apply, and the courts of Uganda decide disputes that cannot be settled through Funamu Support. Questions: info@funamu.com.
