Funamu Merchant Agreement
Last updated: 2 November 2026
This agreement applies when you sell on Funamu as a merchant: an individual seller, a business, or a company with two or more shops. It sits alongside the Funamu Terms of Service and Privacy Policy. By applying to sell or by listing a product you agree to it.
1. The parties
Funamu is run by DOBOKAKA UG LTD, a private company limited by shares registered in Uganda, registration number 80034078892868 (Kisenyi, Kakiri Town Council, Wakiso District; P.O. Box 118605, Wakiso; info@funamu.com). You remain an independent business. Nothing in this agreement makes you Funamu's employee, agent or partner.
2. Joining and verification
- You apply in the Funamu Merchant app with a Funamu account. We check the person running the merchant, the business details and, where needed, licences for what you sell. We may approve, ask for more, or decline with a reason.
- You keep your details true and up to date, including any change of owner. A change of legal owner goes through Funamu before it takes effect.
- A company can add shops and invite workers. You are responsible for what your workers do in the Merchant app.
3. Listings and prices
- Describe every product truthfully: name, photos, condition (new, used or refurbished), variants, size and weight, and any warranty.
- Sell only what is legal and allowed on Funamu. Products that need a licence or special handling are sold only when Funamu has recorded it. Funamu may remove a listing that breaks the rules, with the reason.
- You set your own prices. Funamu does not mark up your price. Keep stock counts accurate so customers are not sold items you do not have.
- Sponsored placement is optional, prepaid, and always shown to customers as Sponsored.
4. Orders
- Accept or decline each order in the time the app shows. An order not accepted in time is cancelled and the customer is refunded in full.
- Prepare the order as described and mark it ready. For restaurants, food is collected only once you mark it ready.
- Once you accept an order, you are expected to fulfil it. Cancel only for the reasons the app allows, and record the reason.
5. Handover by PIN
- Hand an order to a Delivery Partner only when you have entered the PIN shown in that Delivery Partner's app. For a drop-off at a PUDO, enter the PUDO's PIN. That PIN is your proof that the parcel left your hands.
- A returned parcel comes back to you with your return PIN: show it to the person bringing the return only when you have the parcel.
- Never hand over a parcel without the PIN, and never give your own PIN before you have the parcel.
6. Money
- You appoint Funamu to collect payment from customers on your behalf. A customer's payment to Funamu counts as payment to you. Funamu keeps the money for each order until the delivery is confirmed with the customer's PIN, pays from it any refund that is due, then releases your earning as set out below. Funamu collects through a payment service provider (Paytota).
- Funamu charges a commission on each sale, at the rate shown in the Merchant app for the product's category. It is deducted when each order is released to you. The rate that applies to an order is the one in force when the order was placed.
- You choose a payout option in the app:
- Fast Payout: 90% of your earning is available when the delivery is confirmed, and the remaining 10% after 8 days.
- Full Payout: 100% of your earning is available 8 days after the delivery is confirmed.
- You are paid when you use Request Payout, into the one MTN or Airtel Mobile Money payout account registered to your merchant, through Paytota. Changing that account needs a code sent to your registered email. The minimum request is UGX 5,000, one request a day; a Transaction Fee of UGX 999 applies to a request below UGX 500,000, and your balance must cover the amount and the fee. The app shows these figures before you confirm, and the fee is returned if the payout fails.
- If a refund is due after you have been paid for that item, Funamu may recover the amount from your next earnings or send you an invoice.
- You are responsible for your own taxes on your sales, including registering for VAT and issuing fiscal receipts or invoices (EFRIS) where the law requires it. Funamu's invoices and credit notes are commercial documents, not fiscal receipts.
- Funamu keeps the records of your orders, commissions and payouts for at least 5 years and shows them in the Merchant app.
7. Consumer law, returns, refunds and disputes
- You are the seller. The goods must match their description, be of satisfactory quality and fit for their purpose, and you must honour any guarantee you give.
- Customers have a legal right to cancel within 7 days after receiving goods or after ordering, with a full refund within 30 days and no charge beyond the direct cost of returning the goods (Electronic Transactions Act, 2011, s.25). This right applies whatever your return policy says. Funamu carries out the cancellation and refund for you.
- An order must be delivered within 30 days unless the customer agreed another time. If you cannot supply an item, cancel it at once with the reason; the customer is refunded in full.
- Products follow the return policy shown on the listing, which may give customers more than the law, never less.
- When a return or refund is caused by you (for example a wrong, damaged or missing item), the refund for that item and the costs the app shows for that case are charged to you.
- Funamu Support decides disputes from the records: handovers, photos, chats and the listing. You can explain your side in the order chat.
8. Listing content
You keep the rights in your photos, videos and descriptions. You let Funamu use them, free of charge, to show, promote and deliver your products on Funamu while they are listed, and to keep the records afterwards. You confirm you have the right to give this permission and that your listings do not infringe anyone else's rights.
9. In-store sales (POS)
If you use the Funamu POS to record sales in your shop, those sales are cash sales you take yourself; Funamu does not hold that money. Keep the records true.
10. Conduct
- Follow the Acceptable Use Policy (funamu.com/acceptable-use), including its list of prohibited and restricted products.
- Keep all communication about Funamu orders inside Funamu. Moving a customer or a payment outside Funamu is not allowed and messages that try it are blocked.
- Treat customers, Delivery Partners, PUDO Partners and Funamu staff with respect.
- Funamu may warn, limit, suspend or close a merchant account for breaking this agreement, telling you the reason. You can give your side to Funamu Support and ask for the decision to be looked at again.
11. Personal data
- You receive customers' personal data (name, contact, delivery location, parcel details) only to do the work for an order. Use it for nothing else (offers only to customers who agreed to offers from you in the app), keep it confidential, do not copy it outside the app and do not contact a customer about anything except their order.
- Tell Funamu at once (Help in the app, or info@funamu.com) if you think personal data from Funamu has been lost, stolen or seen by someone who should not see it.
- Funamu handles your own personal data as the Privacy Policy explains.
12. Responsibility
You are responsible to customers and to Funamu for the products you sell. If Funamu has to pay a customer or an authority because of your product, your listing or your breach of this agreement, you repay Funamu. Funamu is responsible for running the platform with reasonable care and for paying you what your ledger shows is due.
13. Closing your merchant account
You can ask to close your merchant account in the app. Open orders, returns and money owed in either direction are settled first.
14. Wholesale
If you buy or sell wholesale on Funamu, the Funamu Wholesale Terms (funamu.com/terms/wholesale) also apply.
15. Changes, law and contact
Funamu may update this agreement and shows the new version in the Merchant app with the date it takes effect; important changes need your acceptance. The laws of Uganda apply. Questions: info@funamu.com.
